Welcome to PCA Accounting. By accessing or using our website (pca-accounting.com) and our accounting software services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and PCA Corporation ("Company," "we," "us," or "our") governing your use of the Services.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page with a new "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

PCA Accounting provides cloud-based accounting software and related services, including but not limited to:

General ledger and bookkeeping functionality

Our Services are provided on a subscription basis. Specific features and functionality may vary depending on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

3. Eligibility

To use our Services, you must:

Be at least 18 years of age
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Services under applicable law
Provide accurate and complete registration information
Maintain the security of your account credentials

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You retain ownership of all data, content, and materials that you upload or input into the Services. By using the Services, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Services to you.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WE DO NOT WARRANT THAT:

THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
DEFECTS WILL BE CORRECTED
THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS
THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL PCA CORPORATION, OUR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

LOSS OF PROFITS OR REVENUE
LOSS OF DATA
BUSINESS INTERRUPTION
LOSS OF GOODWILL
ANY OTHER INTANGIBLE LOSSES

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Termination

Termination by You

You may terminate your account at any time by contacting us at support@pca-accounting.com. Upon termination:

Your access to the Services will be discontinued
We may delete your account and associated data
No refunds will be provided for unused portions of your subscription

Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Reasons for termination may include:

Violation of these Terms
Conduct that we determine to be harmful to other users or the Services
Extended periods of inactivity
Non-payment of fees
Legal requirements

Effect of Termination

Upon termination, the following provisions of these Terms will survive: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Services shall be resolved through binding arbitration in Tokyo, Japan, or in the courts of Tokyo, Japan, at our discretion.

You waive any right to participate in class action lawsuits or class-wide arbitration.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and us regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor without your consent.

Force Majeure

We shall not be liable for any failure to perform our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
